These Terms & Conditions (“Terms”) apply to your use of vaniadvertising.com (the “Website”) and to all outdoor advertising services provided by Vani Advertising (“we”, “us” or “our”). By using the Website or booking our services, you (“Client” or “you”) agree to these Terms. If you do not agree, please do not use the Website or our services.

1. Changes to These Terms

We may update these Terms at any time by posting a new version on this page. Continued use of the Website or our services after an update means you accept the revised Terms. Campaigns already confirmed in writing continue on the terms agreed at booking.

2. Eligibility

You must be at least 18 years old and able to enter a legally binding contract. If you book on behalf of a company, you confirm that you are authorised to do so.

3. Our Services

We provide outdoor (out-of-home) advertising services, including hoardings, unipoles, gantries, transit media, bus shelters, digital screens, creative design, printing and installation. Site details, sizes, photos and rates shared on the Website or in quotations are for information and may change until a booking is confirmed.

4. Bookings and Confirmation

• A booking is confirmed only after we receive a signed release order or written (email/WhatsApp) confirmation and the advance payment.
• All sites are subject to availability at the time of confirmation.
• If a confirmed site becomes unavailable for reasons outside our control, we will offer an equivalent site or a pro-rata refund for the affected period.
• Campaign periods are counted from the date of installation, not the date of booking, unless agreed otherwise.

5. Payments

• [Advance %] of the campaign value is payable at booking. The balance is due [before installation / within X days of the invoice].
• All prices are in Indian Rupees and exclude GST and other applicable taxes, unless stated otherwise.
• Printing, mounting and design are charged separately unless included in the quotation.
• Late payments may result in the campaign being paused or the creative being removed, without reducing the amount payable.
• We are not responsible for delays or errors caused by banks or payment gateways.

6. Creatives and Content

• You are responsible for the content of your advertisement and must hold all rights to the logos, images, text and trademarks you provide.
• Content must comply with Indian law, the ASCI Code and local municipal rules. We may refuse or remove any creative that is unlawful, misleading, obscene, defamatory or likely to cause offence.
• Final artwork must reach us at least [X days] before the campaign start date. Delays in artwork do not extend the booked period.
• Colours on printed flex or vinyl may vary slightly from on-screen designs.

7. Installation, Display and Proof

• We will install your creative within [X working days] of receiving approved artwork and payment, subject to weather and permissions.
• We share dated photographs of each site after installation as proof of display.
• Short interruptions caused by power cuts (for lit or digital sites), weather, road works, tree growth, government orders or third-party damage are not a breach of these Terms. If a site is down for more than [X consecutive days] due to our fault, we will extend the campaign or credit the affected days.
• Permissions from municipal and local authorities for our sites are arranged by us unless agreed otherwise.

8. Cancellation and Refunds

• Cancellation must be made in writing.
• Cancellation more than [X days] before the campaign start: the advance is refundable after deducting printing, design and any non-refundable charges already incurred.
• Cancellation within [X days] of the start date, or after installation: the advance is non-refundable and the booked period remains payable.
• Campaigns end automatically on the last day of the booked period unless renewed in writing. We may remove or overwrite the creative after that date.

9. Intellectual Property

All content on this Website, including text, logos, photographs and designs, belongs to Vani Advertising or its licensors. You may not copy, reproduce or use it without our written permission. Creatives designed by us for your campaign may be used by you for that campaign. We may show photos of completed campaigns in our portfolio and on social media unless you ask us not to in writing.

10. Prohibited Use

You must not use the Website or our services to:

• Display content you do not have the right to use
• Publish anything unlawful, defamatory, obscene, hateful or misleading
• Impersonate any person or business
• Upload viruses or harmful code, or attempt to gain unauthorised access to our systems

11. Disclaimer

The Website and its content are provided “as is”. Traffic figures, audience estimates and visibility descriptions are good-faith estimates, not guarantees of sales, leads or results.

12. Limitation of Liability

To the extent allowed by law, we are not liable for any indirect or consequential loss, including loss of profit, business or data. Our total liability for any claim relating to a campaign will not exceed the amount you paid for that campaign.

13. Indemnity

You agree to indemnify Vani Advertising, its staff and partners against claims, penalties or costs (including reasonable legal fees) arising from your advertisement’s content, your breach of these Terms, or your infringement of any third party’s rights.

14. Force Majeure

We are not responsible for delays or failure to perform caused by events beyond our reasonable control, such as natural disasters, storms, floods, pandemics, strikes, riots, government restrictions, election code of conduct or changes in municipal policy.

15. Third-Party Links

Links to other websites are provided for convenience only. We do not control or endorse them and are not responsible for their content.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute will first be discussed in good faith. If it cannot be resolved within 30 days, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, will have exclusive jurisdiction.

17. Entire Agreement

These Terms, together with any quotation or release order you sign, form the entire agreement between you and us. If they conflict, the signed release order takes priority.
